Agreement to Terms

By accessing or using Uvance ("the Platform"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Platform. These Terms apply to all users of the Platform, including clients, freelancers, and visitors.

Description of Service

Uvance is an AI-powered freelancer marketplace that connects clients with talented developers, designers, and writers. Our platform facilitates project matching, communication, payment processing through escrow, and quality assurance through AI-powered systems.

User Accounts

Registration

To use certain features of the Platform, you must register for an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

Eligibility

You must be at least 18 years old to use the Platform. By using the Platform, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

Platform Rules and Conduct

You agree not to:

• Violate any applicable laws or regulations
• Infringe upon the rights of others, including intellectual property rights
• Post false, misleading, or fraudulent information
• Engage in spam, harassment, or abusive behavior
• Attempt to circumvent platform security or payment systems
• Interfere with or disrupt the Platform or servers
• Use automated systems to access the Platform without permission
• Impersonate any person or entity
• Collect user information without consent

Payment Terms

Escrow System

Payments are processed through our escrow system. Clients deposit funds when a project begins, and payments are held securely until project completion and approval. This protects both clients and freelancers throughout the project lifecycle.

Platform Fees

Uvance operates with a transparent fee structure. Clients pay no platform fees, and freelancers pay a small fee only when projects are completed. The fee structure is as follows:

• For Clients: No platform fee. Clients pay only the agreed project amount with no additional platform charges
• For Freelancers: A platform fee of 10% is deducted from your earnings when a project is completed and payment is released
• Payment Processing: Additional payment processing fees may apply depending on your payment method (credit card, bank transfer, etc.)

All fees are clearly disclosed before you commit to a project. There are no hidden fees, no monthly subscriptions, and no signup costs. You only pay when you successfully complete a project or hire a freelancer. Fee amounts and structure may be updated from time to time, and you will be notified of any changes before they take effect.

Refunds and Disputes

Refund requests must be submitted through the Platform within 120 days of the original payment. Our refund policy is as follows:

• Full Refund: Available if the freelancer fails to deliver work as specified in the project agreement, or if the work does not meet the agreed-upon requirements after reasonable revision attempts. Full refunds return the entire project amount to the original payment method.
• Partial Refund: May be available if the work is partially completed or requires significant revisions beyond the original scope. Partial refunds are calculated based on the work completed and agreed upon by both parties.
• Refund Processing: Refunds are processed to the original payment method used for the transaction. Processing time is typically 5-10 business days, though timing may vary depending on your payment method and financial institution.
• Refund Eligibility: Refunds are generally not available if the work has been accepted and payment has been released, or if the project cancellation is due to client change of mind (unless otherwise agreed in writing).
• Dispute Resolution: Disputes will be reviewed by our support team within 5 business days. Our AI quality assurance system helps ensure deliverables meet project requirements. If issues persist, our support team will mediate and make a final decision based on the project agreement and evidence provided.
• Chargebacks: If you initiate a chargeback with your payment provider, we will work with you and your financial institution to resolve the dispute. However, we encourage you to contact us first through our dispute resolution process, as chargebacks may result in additional fees and delays.

All refunds are processed automatically to the original payment method. Platform fees paid by freelancers are non-refundable except in cases of platform error or fraud. Payment processing fees charged by payment providers are also non-refundable, as these fees are incurred at the time of the original transaction.

Intellectual Property

Platform Content

The Platform and its original content, features, and functionality are owned by Uvance and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

User Content

You retain ownership of content you create and submit to the Platform. By submitting content, you grant Uvance a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display your content for the purpose of operating and promoting the Platform.

Work Product

Upon full payment, clients receive ownership rights to work product as specified in individual project agreements. Freelancers retain the right to use work product in their portfolios unless otherwise agreed.

AI Quality Assurance

Our AI-powered quality assurance system reviews project submissions to ensure deliverables meet high standards. This automated review process helps maintain quality across the Platform. While our AI system assists in quality control, final approval remains with the client.

Dispute Resolution

In the event of disputes between users, we encourage direct communication and negotiation. If disputes cannot be resolved, our support team can assist with mediation. For legal disputes, these Terms shall be governed by the laws of the State of California, United States, without regard to its conflict of law provisions, and disputes shall be resolved through binding arbitration in San Francisco, California, in accordance with the rules of the American Arbitration Association.

Limitation of Liability

To the maximum extent permitted by law, Uvance shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Platform.

Indemnification

You agree to indemnify and hold harmless Uvance, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of or relating to your use of the Platform, violation of these Terms, or infringement of any rights of another.

Termination

We may terminate or suspend your account and access to the Platform immediately, without prior notice, for any reason, including breach of these Terms. Upon termination, your right to use the Platform will cease immediately. You may also terminate your account at any time by contacting us.

Force Majeure

We shall not be liable for any failure or delay in performance under these Terms which is due to events beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, network or infrastructure failures, or other causes beyond our reasonable control. In such circumstances, we will use reasonable efforts to notify you and resume performance as soon as practicable.

Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect and enforceable.

Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Uvance regarding the use of the Platform and supersede all prior agreements, understandings, negotiations, and discussions, whether oral or written, relating to the subject matter hereof.

Assignment

You may not assign, transfer, or delegate these Terms or any rights or obligations hereunder without our prior written consent. We may assign, transfer, or delegate these Terms or any rights or obligations hereunder at any time without notice to you.

Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of Uvance.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Platform after changes become effective constitutes acceptance of the modified Terms.
